Terms of Service

Privacy-related terms: ClipSpark processes video on your device. We do not upload your video files to the cloud. Your Google account is used only to sign in and attach subscription entitlements—not to collect extra personal data. See the Privacy Policy, which forms part of these Terms.

1. Acceptance

Welcome to ClipSpark. These Terms govern your access to and use of ClipSpark (the Windows desktop app, this website, and related services). By downloading, installing, registering for, or using the service, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the service.

2. The service and privacy commitments

ClipSpark helps you turn long videos into short, publish-ready clips on your own computer (import, transcription, subtitles, aspect-ratio export, and related features).

  • Video files are processed on your device and are not uploaded to ClipSpark’s cloud.
  • Transcription runs locally; we do not use cloud Whisper.
  • We do not collect extra personal privacy data such as contacts, location, or government IDs in order to provide the service.
  • Your Google account is used only to sign in and to bind subscription entitlements to that identity—not to read other Google data or build marketing profiles.
  • We will not use your videos or transcripts to train AI models.

3. Software license

Subject to these Terms, we grant you a limited, revocable, non-transferable, non-exclusive license to install and use the ClipSpark client on Windows devices you own or control.

  • You may not rent, resell, sublicense, or publicly distribute copies of the software except where the law requires.
  • You may not reverse engineer, crack, or bypass licensing or security measures except where the law requires.
  • The software may check for updates; installation follows your settings.

4. Accounts and eligibility

  • You create a session with Google sign-in. The account is used only for authentication and subscription entitlements.
  • You must use a Google account you are authorized to use, keep that account secure, and are responsible for activity under it. If you become aware of unauthorized use, email clipsparkco@gmail.com promptly.
  • You must be at least 18 years old, or the age of majority in your jurisdiction if that is higher. The service is not directed to anyone under 18. You represent that your use of the service complies with applicable law where you live.
  • If you use the service on behalf of an organization, you represent that you are authorized and that the organization is bound by these Terms.

5. User content and feedback

  • You retain your rights in content you import, generate, and export. We do not claim ownership of your videos.
  • You represent that you have the rights needed to process that content and that you will not infringe others’ rights. You may import, analyze, clip, and export only material you own or are licensed in writing to use this way (for example footage you shot, or client work that allows this use).
  • Do not import unauthorized movies, TV shows, livestream recordings, other people’s courses, music videos, or other copyrighted works in order to generate short clips for TikTok, Reels, Shorts, or other platforms. ClipSpark is a local creation tool, not a piracy or content-reposting service.
  • Because video stays on your device, we do not need and do not receive a license to upload, host, or publicly distribute your videos. We cannot review files on your computer from the cloud; you are responsible for the legality of your material.
  • Only if you click AI highlight analysis do you authorize us to send the transcript required for that request (not the video file) to processors needed to complete it (by default Google Gemini via ClipSpark’s proxy; or DeepSeek if you enter your own API key), as described in the Privacy Policy.
  • If you send ideas or suggestions (“Feedback”), you grant us a royalty-free right to use and develop that Feedback to improve the service. Feedback does not include your video files.

6. Restrictions

  • Do not use the service for illegal purposes or to process content you are not allowed to process.
  • Do not use the service to make or distribute infringing short videos, or to circumvent platform copyright protections.
  • Do not process child sexual exploitation material, or other people’s likeness or private information you are not authorized to handle.
  • Do not abuse quotas, attack or disrupt the service, or extract models, secrets, or other users’ data from the software.
  • Do not use service output to train models that compete with ClipSpark.
  • Do not submit personal information of children under 18.

7. AI output

  • AI output may contain errors, omissions, or poor fit for your use case. Review it before publishing.
  • As between you and us, clip titles and timecodes generated from your content belong to you, but we do not warrant that they are unique.
  • You are responsible for how you use AI output and should not treat it as a statement of fact or a final conclusion.

8. Subscriptions and payment

8.1 Paid features

Some features require a paid plan. Before you are charged, you can review and confirm the amount, currency, and tax in the app or on the checkout page. USD prices are a guide; the amount due is what checkout shows. Refunds follow section 8.6 and the refunds page. We do not use a default “all sales final / generally non-refundable” rule.

8.2 Pricing

These Terms do not list specific prices. Check current pricing in the ClipSpark desktop app (Settings → Upgrade) or on the website pricing page. The amount you pay is what checkout shows. We may change prices or charges and will give reasonable prior notice via the website, in-app notice, or the email on your account. New prices usually apply from the next billing period. Continued use of paid features after a change takes effect means you accept the new price. Promotions apply only to the offers shown to you and do not automatically apply to every user.

8.3 Payment processing

To pay for paid features by credit card, debit card, or other methods shown at checkout, we use the third-party merchant of record Creem (operated by Armitage Labs OÜ, Estonia, “Creem”). Creem is the contractual seller of the subscription to you and handles payment, invoicing, and applicable tax. Those payment services are provided by Creem and are subject to Creem’s buyer terms and other policies then in force, available at https://www.creem.io/buyer-terms, and to Creem’s privacy policy at https://www.creem.io/privacy (together, the “Creem Agreements”). By agreeing to these Terms, you also agree to the Creem Agreements (which Creem may update from time to time) when you use paid features. You authorize Creem to store your payment method and to charge it on each renewal date so paid access is not interrupted. Card and other payment data are handled by Creem; we do not store full card numbers. Except where mandatory consumer law says otherwise, Peng Zhang / ClipSpark is not responsible or liable for any payment you make through the service, or for charge failures, chargebacks, or interruptions caused by Creem, banks, or payment networks. 8.4 Subscriptions and auto-renewal

  • A subscription runs for the period you choose and auto-renews for the same period until you cancel or we terminate it.
  • You authorize Creem to charge your saved payment method on each renewal date for the next period’s fees and applicable tax.
  • To cancel renewal, update payment methods, or download invoices, use Settings → Manage subscription in the desktop app to open the billing portal. You may also email clipsparkco@gmail.com; cancelling in the portal is usually faster.
  • You must cancel before the next billing period starts, or the next period may already be charged. After cancellation you usually keep access until the end of the paid period (unless you cancel immediately). Timing follows the billing portal record.
  • Consumers in the EEA/UK may have a statutory right to withdraw from digital content (often 14 days, which can be limited if you consent to immediate performance). Refunds and withdrawal follow section 8.6, the refunds page, checkout disclosures, and mandatory consumer law.

8.5 Overdue accounts, failed charges, and chargebacks

If amounts are unpaid, a renewal charge fails, or a chargeback occurs, we may suspend or terminate Pro and other paid features. Files already exported stay on your device. You remain responsible for amounts already due. To the extent permitted by law, you are responsible for reasonable third-party fees arising from chargebacks, reversals, or collection. If your payment method is invalid and is not updated, we may stop renewal and end paid entitlements. Deletion of account identifiers follows the Privacy Policy.

8.6 Refunds and cancellation

  • Subscriptions are purchased in the ClipSpark desktop app. The website pricing page is informational and does not charge your card in the browser.
  • 14-day unused refund: you may request a refund of your most recent monthly or yearly charge if it was made within 14 days and you have not processed any videos in that billing period. Details are on the refunds page. We will process it through the original payment method via Creem.
  • Cancelling renewal is not a refund: after you cancel you usually keep access until the period ends. Periods already billed and used are generally not refunded except where the law requires.
  • If we stop a paid feature other than because you breached these Terms, we will refund the full amount of your most recent actual payment, or USD 20, whichever is greater, except where mandatory consumer law or checkout disclosures provide otherwise.
  • If we terminate because of serious breach, fraud, or infringement, fees already paid are not refundable except where the law requires a refund.

9. Open source

The client may include open-source components such as ffmpeg and whisper.cpp, each under its own license. If a mandatory open-source term conflicts with these Terms, that license controls for that component.

11. Third-party services

The service relies on or may connect to third parties, including Google (sign-in), Creem (payments and tax), Google Gemini or DeepSeek (AI analysis you start), and processors used for diagnostics or email (for example Sentry and Resend). Your use of those services is also governed by their own terms and privacy policies. We do not give extra warranties for their availability, accuracy, or security. See the Privacy Policy for how data is processed.

12. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless the operator Peng Zhang and his agents from third-party claims, damages, and expenses (including reasonable attorneys’ fees) arising out of or related to: (1) video, audio, or other material you import, process, or export that you are not authorized to handle; (2) your breach of these Terms or applicable law; or (3) unauthorized use or misuse of the service. We may, at our own expense, assume exclusive defense of any matter otherwise subject to indemnification, without limiting your obligations; you will reasonably cooperate.

13. Disclaimer

To the extent permitted by law, the service and AI output are provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, and freedom from harmful components, and we do not warrant that any issue will be corrected. Review AI output before you publish. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you. Mandatory consumer rights are unaffected.

14. Limitation of liability

  • To the extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or loss of goodwill, whether in contract, tort, or otherwise.
  • Liability cap: the full amount of your most recent actual payment, or USD 20, whichever is greater.
  • These limits are an essential basis on which we provide the service. Mandatory consumer rights are unaffected.

15. Termination

  • You may stop using the software and uninstall it at any time. Cancelling a subscription does not by itself delete your account; account deletion is described in the Privacy Policy.
  • We may suspend or terminate access if you materially breach these Terms, use the service unlawfully or abusively, or create a security risk. In urgent cases we may be unable to give prior notice.
  • If we stop a paid feature other than because you breached these Terms, we will refund through Creem the full amount of your most recent actual payment, or USD 20, whichever is greater, except where mandatory consumer law or checkout disclosures provide otherwise.
  • If we terminate because you breached these Terms, fees already paid are not refundable except where the law requires a refund.
  • After termination, video files remain on your device. Account and subscription data are handled as described in the Privacy Policy.
  • Provisions that by nature should survive will survive, including restrictions, content warranties, unpaid fees, copyright notices, indemnity, disclaimers, liability limits, and governing law.
  • If you believe we suspended or terminated your account in error, email clipsparkco@gmail.com to appeal.

16. Changes

We may update these Terms and post the new version on this page. If you do not agree, stop using the service. Continued use after the effective date means you accept the updated Terms. For material changes we will, where practical, notice you on the website or via the email on your account.

17. Governing law and disputes

Governing law: the laws of the People’s Republic of China. Disputes should first be negotiated; if that fails, they may be submitted to courts with jurisdiction at the operator’s place of residence in China. If mandatory consumer-protection rules apply where you live (for example the United States, EEA, UK, or Singapore), those rules prevail and are not waived by this clause.
